Re: Important information for prospective purchasers and vendors


Prospective clients (purchasers & vendors) to engage Mint Business Brokers Pty Ltd in the capacity of Real Estate Agents in respect to transactions of Property, Land and Business Goodwill & Assets should be aware that this is a related entity to JPH Group Pty Ltd (JPH Group) and the subsequent entities of JPH Group – including but not limited too; JPH Taxation, JPH Mortgage Origination Pty Ltd and JPH Capital Pty Ltd.
 

While Mint Business Brokers Pty Ltd is separate legal entity to those mentioned above, the entity does share similar Directors and operate from the same premises.
 

Potential purchasers and vendors should be aware that any commission, payments or profits generated by Mint Business Brokers Pty Ltd shall be paid to its Directors, who may also be Directors of the related entities of JPH Group Pty Ltd.
 

During a situation where a client of JPH Group or its related entities engages the services of Mint Business Brokers Pty Ltd in order to act as the Estate Agent of their Business or Property, this Business or Property may be advertised to the general public for sale.
 

As part of this advertising, the Business or Property may also be promoted to the other existing clients of JPH Group.
 

In a situation in which a client of JPH Group or related entities wishes to purchase a Business or Property listed for sale with Mint Business Brokers Pty Ltd from another client of JPH Group or related entities, this disclosure document will be provided.
 

In order to mitigate conflicts of interests during transactions of the nature mentioned above, Mint Business Brokers Pty Ltd and its agents will represent the vendor in each transaction and JPH Group and its advisers may represent the interest of the purchaser.
 

The advisers and agents of both parties will represent their client’s interests independently and to the best of their ability, while operating under the notion of a ‘Chinese Wall’ to restrict the sharing of information and minimize conflict to that of a standard commercial transaction.
 

No single person from either Mint Business Brokers Pty Ltd or JPH Group will act for both parties at the same time.
 

Prior to proceeding with engaging the services of Mint Business Brokers Pty Ltd (as a vendor or purchaser) any current or previous client of JPH Group who is concerned of a perceived or real conflict of interest in regards to their personal or financial interests should raise this matter with their agent/adviser or additionally seek independent third party advise.


Should no concerns be raised prior to proceeding, it is assumed that the vendor or purchaser has no concerns about the issues raised in this document and enters into the agreement with a full knowledge and understanding
